It’s official: In a move that will dramatically reshape the entertainment business, Netflix and Warner Bros. Discovery announced an agreement Friday under which Netflix will acquire Warner Bros., including its film and TV studios, its gaming business, HBO Max and HBO.

The deal has a total enterprise value (including debt) of approximately $82.7 billion, with an equity value of $72 billion, the companies said. The announcement of Netflix’s deal to buy the Warner Bros. streaming and studios business came after a weeks-long bidding war that pitted the streaming giant against David Ellison’s Paramount Skydance and Comcast. News broke Thursday evening that Netflix had entered into exclusive negotiations with WBD on a deal for Warner Bros. and HBO Max.

“I know some of you are surprised we are making this acquisition,” Netflix co-CEO Ted Sarandos said on a call with analysts Friday, noting the company historically has been more “builders” than “buyers.”

Netflix said it expects “to maintain Warner Bros.’ current operations and build on its strengths,” including theatrical releases for films. Currently, Warner Bros. has deals to release its film in cinemas through 2029. In the near term, Netflix signaled it would keep HBO Max as a discrete service, while it also touted the addition of HBO and HBO Max content to its lineup.

“By adding the deep film and TV libraries and HBO and HBO Max programming, Netflix members will have even more high-quality titles from which to choose,” the company said. “This also allows Netflix to optimize its plans for consumers, enhancing viewing options and expanding access to content.”

Netflix faces a potential hurdle in clearing the WB deal over antitrust issues — a point that Ellison’s Paramount Skydance emphasized in its communications with the WBD board in its last bid. Rep. Darrell Issa (R-Calif.) raised that concern in a Nov. 13 letter to Trump administration officials, writing, “With more than 300 million global subscribers and a vast content library, Netflix currently wields unequaled market power.”

This could either mean good things or bad things for those of us that love physical media.  Netflix isn't exactly known for printing discs of their movies and series.  Will that mean that new and existing Warner movies will only be available via streaming on Netflix?

Or, will we see more Netflix original content get home video releases?  A third option is that Arrow's partnership with Warner will allow them to bring more titles to disc.

And, there's always the possibility that the acquisition isn't approved due to monopoly concerns.

I have to admit I'm more worried than excited about this news.  I hope they prove me wrong.

Well if nothing else it's obviously a sign o' the times. 

Even though they said they'd maintain it in the near term, I'm curious what it means for HBO Max, as a competitor to Netflix. I've also had that bundled with my AT&T Fiber internet package for several years now - and that fiber has gone up by $20/mo in the last couple of years. (Maybe that's even part of the reason... I should check on that!) Losing that free bundle would mean it would go back into rotation. 

That's setting aside concerns over things like Netflix's reported content guidebook which emphasizes writing for distracted viewers with their phones in their hand, etc.

Well if nothing else it's obviously a sign o' the times.

Even though they said they'd maintain it in the near term, I'm curious what it means for HBO Max, as a competitor to Netflix. Yep, there are promises in there, but they could all be temporary.

And prioritizing viewers using the service as background noise doesn't bode well for anyone looking for deeper, nuanced entertainment.

To be fair, the DVD part of their business was always intended to be a steppingstone, with their current model looking very close to what they envisioned.  

They've nailed down the business part of this and consumer seem to love it.

No it isn't. The government hasn't weighed in yet. An agreement has been made between two companies, but the FTC needs to put their blessing on it so it doesn't hurt consumers (where one could make an argument that it does).

This really isn’t new news, I could have predicted it. In fact, I think I did.

Why? Because this actually happened before. And now it’s happening again.

Time Warner for their future was in streaming and not in movie theaters. So they merged, if you recall, with AOL in the year 2000. Actually I think AOL bought them. This is because they thought the Internet was the way that they wanted to deliver products in the future. 

That didn’t exactly work out. But the Internet is where Warner Brothers saw their future. And now they seem to have found it. Sadly, it is with a competitor, which usually means that they will have a combined less product. And eventually, HBO Max will merge with Netflix, but not in the next few years and not before the regulators pass this.

But WARNER always saw this as their future, And they got rid of the Time part And sold their magazine units.
